Yakkyofy Terms of Service

Following terms and conditions are a set of rules and guidelines for YAKKYO srl (hereinafter referred to as “YAKKYO”) and its CUSTOMERS (hereinafter referred to as “User” or “the user” or “CUSTOMER” or “CUSTOMERS”).

References to “Subscription Fee” mean the due fee that CUSTOMERS who sign up for or upgrade to Paid Plans shall pay.

References to “Effective Date” mean the date the User subscribes to the YAKKYO Plan, whether as a Free or Paid Plan.

  • Definition.
    • Tier 1 Country List: All countries where Special line is available* (hereinafter referred to as “Tier 1 Countries”):

    • Other Countries: All countries that are not listed in Tier 1 and 2 Country List (hereinafter referred to as “Other Countries”).

 

  • Shipping Method. CUSTOMERS shall choose appropriate choice for shipping country and circumstance.

Please note that Special Line, ePacket and Registered Post are not available for all situations (such as products with built‐in battery or sensitive products).

  • Duty and Responsibility.

3.1 YAKKYO, as YAKKYO, helps CUSTOMERS from sourcing to fulfillment, to make it easier to procure inventory and dropshipping arrangements. YAKKYO delivers goods based on CUSTOMERS’ shipping method choice, and will handle all coordination until the time the products are delivered to Post. YAKKYO will help CUSTOMERS with tracking, and provide as much information as possible based on shipping method. Not all shipping methods provide tracking inside the destination country. In order to help with tracking down orders once posted and reduce the unsuccessful delivery rate, YAKKYO requires the full shipping information which includes the shipping name, address, province (state), zip code, country and contact phone number.

3.2 SHIPPING COSTS are always estimated, as the SHIPPING WEIGHT is provided by a third-party factory and if the weight is incorrect, the shipping costs may be increased. YAKKYO bears no responsibility if the shipping cost is incorrect. In this case CUSTOMERS will be asked to cover the additional costs to ship products or to cancel their orders and receive a full refund to the YAKKYO eWallet.

3.3 Dropshipping is meant to be used to ship out 1 piece of a small and inexpensive product.

As such, should the CUSTOMER decide to ship out numerous products in one order, and incur in extra charges, a refund will not be issued for these costs.

Therefore:

3.3.1 Should the package be subject to duty at customs in the country of destination and the forwarder requests the payment of the tax, this will be paid by the CUSTOMER and no refund will be issued;

3.3.2 Should the order with more items lead to an increase in the volumetric weight of the package, YAKKYO reserves the right to charge the CUSTOMER in agreement with him for the difference in the shipping costs.

  • China Rejected Parcels. Parcels might be rejected by China Post during the process of security check. CUSTOMERS will not incur an additional shipping charge. Post operation may take 20 to 60 days to have parcels back to YAKKYO warehouse, then YAKKYO will arrange to reship or contact the CUSTOMER if in order to reship a fee has to be paid or further arrangements need to be discussed with the CUSTOMER. 


  •  Undeliverable Parcels. Some Posts do not notify the end CUSTOMERS when a parcel cannot be delivered successfully. It’s end CUSTOMERS’ responsibility to contact the Post for further pick‐up. Post may lose the parcels or return the parcels to sender***** if the end CUSTOMERS do not pick up in a timely manner.


  • Products held in inventory for more than 60 days with no orders might be destroyed at YAKKYO’s sole discretion due to warehouse space management.

  •  Use of the services

7.1 CUSTOMERS Responsibilities. CUSTOMERS shall ensure that the CUSTOMERS’ ecommerce stores are compatible with YAKKYO’s tools. CUSTOMERS should make sure to use the most recent version of their browsers.

7.2 Free Plans. CUSTOMERS who select to use our Free Plan will receive those services set forth in the Free Plan description found online at https://yakkyofy.com/prices-and-plans/ which are subject to change in our sole and exclusive discretion.

7.3 Paid Plans. CUSTOMERS who select to sign up for a Paid service Plan, shall be entitled to receive the services compatible with the Paid Plan selected. Such services are listed via the Web site, available at https://yakkyofy.com/prices-and-plans/, and are subject to change in our sole and exclusive discretion.

  1. Fees; Terms of payment

8.1 Subscription Fee. Use of our Free Plan is truly free; however, CUSTOMERS who sign up for or upgrade to Paid Plans shall pay a fee, (a “Subscription Fee,”) in a pre-paid amount as reflected on the Web site at https://yakkyofy.com/prices-and-plans/ at the time of Plan selection. YAKKYO reserves the right to change the Subscription Fees, or any other applicable fees and charges and to institute new charges and Subscription Fees, with prior notice to Customer.

8.2 Free Trial. Some Users may receive a free trial (where applicable) of the Paid Plan of their choice. CUSTOMER understands and agrees that CUSTOMER shall be automatically billed the entire fee associated with the selected Paid Plan on the first (1st) calendar day following the end of the free trial period unless CUSTOMER cancels such free trial prior to the end of the free trial period. 

8.3 Billing. All Subscription Fees as set forth herein shall be automatically pre-paid, in full, on a monthly or annual basis, (the “Billing Cycle,”) as selected upon registration by CUSTOMER, on the first (1st) day of the Billing Cycle, where the first (1st) day of the first (1st) Billing Cycle shall commence as of the date the CUSTOMER registers for a Paid Plan, (the “Effective Date.”) 

8.4 Form of Payment. Payment shall be made by a recurring charge to CUSTOMERS provided credit/debit card via our payment processor, which is currently Stripe. To learn more about Stripe, please visit https://stripe.com.  We will automatically charge CUSTOMER the relevant charges on a recurring basis. If CUSTOMER selects to subscribe for a Paid Plan on a monthly basis, then we will automatically charge CUSTOMER the relevant charges for the subsequent month unless CUSTOMER cancels the subscription before the new monthly subscription term begins. If CUSTOMER selects to subscribe for a Paid Plan annually, we will automatically charge CUSTOMER the relevant charges for the subsequent year, unless CUSTOMER cancels the subscription before the new annual subscription terms begins. CUSTOMER accepts responsibility for all recurring charges incurred prior to cancellation. CUSTOMER agrees that we may make periodic charges relating to the subscription without further authorisation from CUSTOMER. CUSTOMER also acknowledges and agrees that his/her credit/debit card information, along with their billing data, will be stored and processed by third party PCI DSS compliant service providers, which is currently Stripe.Other portions of YAKKYO service may require additional billing information and separate payment processors.

8.5 Taxes. CUSTOMER is responsible for all applicable Taxes that arise from or as a result of the subscription.To the extent that YAKKYO charges these Taxes, including VAT, they are calculated using the tax rates that apply based on the billing address that the CUSTOMER provided to YAKKYO. Such amounts are in addition to the Fees for subscription and will be billed to CUSTOMER Authorized Payment Method.

8.6 Suspension of Services. In the event a balance remains unpaid by CUSTOMER for the Subscription Fee associated with the Paid Plan selected by CUSTOMER, CUSTOMER agrees and acknowledges that the Paid Plan Services shall be automatically suspended, until such payments are made. Stated that the third party payment processor will attempt to charge again the Subscription Fee, CUSTOMER shall ensure that the payment method provided is still valid and the balance is sufficient to cover the above said Subscription Fee.
In the event that next attempts to charge the Subscription Fee are successful, the service will be restored.
In the event that all the next attempts to charge the Subscription Fee are unsuccessful and the CUSTOMER doesn’t provide another valid payment method, the service will be automatically revoked and the Free Plan subscription will be restored.

8.7 Refund Terms. YAKKYO does not provide refunds at termination of the account nor at the termination of the subscription. For any other type of refund please refer to Yakkyofy’s General Dropshipping Return & Refund Policy here

           Refunds will be processed to the eWallet to use for future YAKKYO Services.

           For a refund to be returned to the original payment method, it must be   requested to our customer care team through the section contact us inside your Yakkyofy account, selecting the option payment. Please refer to the link here for further information.

Refunds back to the original payment method have a processing time of up to 20 days.

8.8 Cancellation Policy. CUSTOMERS are responsible for cancellation of their Paid Plan by using the self-service cancellation procedure provided to the User within the web application. When the CUSTOMER cancels the subscription, it will remain active until the end of the currently paid billing period at which point it will be automatically canceled and will no longer be auto-renewed. User is responsible for canceling the YAKKYO account or subscription plan and any charges that incur because of lack of cancellation.

  1. Disclaimers; Limitations of liability; Indemnification

9.1  DISCLAIMER OF WARRANTY. YAKKYO SHALL USE REASONABLE EFFORTS CONSISTENT WITH PREVAILING INDUSTRY STANDARDS TO MAINTAIN THE SERVICES IN A MANNER WHICH MINIMIZES ERRORS AND INTERRUPTIONS IN THE SERVICES AND SHALL PERFORM THE SERVICES IN A PROFESSIONAL AND WORKMANLIKE MANNER. SERVICES MAY BE TEMPORARILY UNAVAILABLE FOR SCHEDULED MAINTENANCE OR FOR UNSCHEDULED EMERGENCY MAINTENANCE, EITHER BY YAKKYO OR BY THIRD-PARTY PROVIDERS, OR BECAUSE OF OTHER CAUSES BEYOND YAKKYO’S REASONABLE CONTROL. YAKKYO DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED OR ERROR FREE; NOR DOES IT MAKE ANY WARRANTY AS TO THE RESULTS THAT MAY BE OBTAINED FROM USE OF THE SERVICES. EXCEPT AS EXPRESSLY SET FORTH IN THIS SECTION, THE SERVICES ARE PROVIDED “AS IS” AND YAKKYO DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT. 

 

9.2 LIMITATION OF LIABILITY. (A) CUSTOMER AGREES THAT USE OF THE SERVICES IS AT CUSTOMER’S SOLE RISK. NEITHER YAKKYO NOR YAKKYO’S AFFILIATES NOR ANY RESPECTIVE EMPLOYEES, AGENTS, THIRD-PARTY CONTENT PROVIDERS OR LICENSORS WARRANT THAT THE USE OF THE SERVICES SHALL BE UNINTERRUPTED OR ERROR FREE; NOR DOES YAKKYO MAKE ANY WARRANTY AS TO THE RESULTS THAT MAY BE OBTAINED FROM USE OF THE SERVICES OR AS TO THE ACCURACY, RELIABILITY OR CONTENT OF ANY INFORMATION PROVIDED. (B) ANY DOWNLOADABLE SOFTWARE, PRODUCTS OR OTHER MATERIALS, WITHOUT LIMITATION, IS PROVIDED ON AN “AS IS” BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, WARRANTIES OF TITLE OR IMPLIED WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE AGAINST INFRINGEMENT, OTHER THAN THOSE WARRANTIES WHICH ARE IMPLIED BY AND INCAPABLE OF EXCLUSION, RESTRICTION OR MODIFICATION UNDER THE LAWS APPLICABLE TO THESE TERMS OF USE. (C) ALTHOUGH ALL INFORMATION AND MATERIALS PROVIDED VIA THE SERVICES IS BELIEVED TO BE RELIABLE, YAKKYO MAKES NO REPRESENTATIONS, NEITHER EXPRESSLY NOR IMPLIEDLY, AS TO THE ACCURACY, COMPLETENESS, TIMELINESS OR RELIABILITY OF THE SERVICES. (D) IN NO EVENT SHALL YAKKYO, YAKKYO’S EMPLOYEES, SUBSIDIARIES, PARENTS, AGENTS, PARTNERS, THIRD-PARTY CONTENT PROVIDERS, VENDORS, AND/OR YAKKYO’S OR THEIR RESPECTIVE DIRECTORS, OFFICERS, AND MEMBERS, BE LIABLE TO CUSTOMER OR ANYONE ELSE FOR ANY LOSS OR DAMAGES WHATSOEVER, INCLUDING BUT NOT LIMITED TO ANY DIRECT, INDIRECT, SPECIAL, CONSEQUENTIAL, INCIDENTAL, PUNITIVE, OR OTHER DAMAGES, INCLUDING BUT NOT LIMITED TO EXEMPLARY, RELIANCE, OR CONSEQUENTIAL DAMAGES, LOSS OF PROFITS, PERSONAL INJURY OR DEATH, PROPERTY DAMAGE, REPUTATIONAL HARM, OR LOSS OF INFORMATION OR DATA, ARISING OUT OF OR RELATED TO THE USE OF OR INABILITY TO USE THE THE SERVICES. (E) YAKKYO DISCLAIMS ANY AND ALL LIABILITY OF ANY KIND FOR ANY UNAUTHORIZED ACCESS TO OR USE OF CUSTOMER’S CUSTOMER DATA INFORMATION. PROPRIETARY INFORMATION OF CUSTOMER INCLUDES NON-PUBLIC DATA PROVIDED BY CUSTOMER TO YAKKYO TO ENABLE THE PROVISION OF THE SERVICES (“CUSTOMER DATA”). BY UTILIZING THE SERVICES THE CUSTOMER ACKNOWLEDGES AND AGREES TO YAKKYO’S DISCLAIMER OF ANY SUCH LIABILITY. IF THE CUSTOMER DOES NOT AGREE, THE CUSTOMER SHOULD NOT ACCESS OR OTHERWISE UTILIZE THE SERVICES.

9.3 INDEMNIFICATION. CUSTOMER AGREES TO DEFEND, INDEMNIFY AND HOLD HARMLESS YAKKYO AND ITS DIRECTORS, OFFICERS, EMPLOYEES, CONTRACTORS, SUBSIDIARIES, PARENTS, AGENTS, PARTNERS, THIRD-PARTY CONTENT PROVIDERS, AND VENDORS FROM AND AGAINST ALL CLAIMS, SUITS, AND EXPENSES, INCLUDING ATTORNEYS’ FEES, ARISING OUT OF OR RELATED TO (A) CUSTOMER’S USE OF THE SERVICES; (B) CUSTOMER’S NONCOMPLIANCE WITH OR BREACH OF THIS AGREEMENT; (C) CUSTOMER’S VIOLATIONS OF ANY THIRD-PARTY RIGHTS, INCLUDING THIRD-PARTY INTELLECTUAL PROPERTY RIGHTS; OR (D) THE UNAUTHORIZED USE OF THE SERVICES BY ANY OTHER PERSON USING CUSTOMER’S INFORMATION.

  1. Miscellaneous

Force Majeure. YAKKYO shall not be bound to meet any obligation if prevented from doing so as a consequence of acts of God or force majeure, including but not limited to measures taken or imposed by any government or public authority or in case of any other event beyond the control of us, including but not limited to natural disasters (such as storm, hurricane, fire, flood, earthquake), war, civil unrest, terrorist activities, states of emergency, government sanctions, embargos, nationalizations, strikes and breakdowns of public utilities (such as of electricity or telecommunication services). YAKKYO shall use all reasonable efforts to notify CUSTOMER of the circumstances causing the delay and to resume performance as soon as possible.

In some areas of Canada, Premium Special line is also available. Premium Special line available countries are subject to change without prior notice.
